Mission Statement Our Mission is to hold candidates accountable to the Texas Republican Party Platform and Constitution by being the single largest reason why candidates are elected. ARTICLE 1-Name and Definitions The name of this organization shall be TARRANT REPUBLICAN CLUB (TRC), hereinafter referred to as the Club. The Tarrant County Republican Party shall be hereinafter be referred to as the County Party. The Republican Party of Texas shall hereinafter be referred to as the RPT. The Republican Party shall hereinafter be referred to as the Party. ARTICLE 2-Purpose To cultivate a thriving grassroots system that will continuously build and promote the Party Platform and result in responsible government. ARTICLE 3-Meetings REGULAR MEETINGS The Club may hold its regular meetings once a month at a time, date, and location to be determined by the Club Officers. SPECIAL MEETINGS Special meetings may be called at any time by the President, a majority of the Club Officers, or by a majority vote of the Club's active membership at a previous meeting. CLUB OFFICERS MEETINGS The Club Officers shall meet at such times as necessary to conduct official business. Meetings shall be called by the President of this organization or by a majority vote of the Club Officers. A quorum of one more than one-half of the total membership of the Club Officers must be present in order to transact official business at any Club Officers meeting. QUORUM A majority of the Club Officers shall constitute a quorum in order to transact official business. ROBERT’S RULES OF ORDER The rules contained in Robert’s Rules of Order Newly Revised: 10th Edition shall govern all proceedings except when inconsistent with this Constitution. ARTICLE 4-Membership ACTIVE MEMBERS Any person believing in the general principles of the Republican Party Platform is eligible for membership. The privilege of active membership in this organization shall require the fulfillment of such duties and responsibilities as herein set forth, together with the By-Laws of this organization. ANNUAL DUES Annual dues for active members shall be twenty-five dollars ($25.00) for a single person, thirty-five dollars ($35.00) for a married couple, fifteen dollars ($15.00) for a full-time student, twenty-five dollars ($25.00) for an associate membership with no voting privileges, one-hundred twenty-five dollars ($125.00) for a declared candidate membership. Dues shall be delinquent sixty (60) days after March 1 of each year, and the member shall be inactive and ineligible to vote. Active membership is restored immediately upon payment of dues. Voting privileges may not be exercised within 60 days by anyone paying delinquent dues. Applicants for active membership shall submit their dues along with their application, at which time they shall become members of the Club; thereafter, dues are payable January 1 of each year, and payment of dues shall constitute renewal of membership. Club Officers by majority vote may award scholarships to deserving persons for membership. ARTICLE 5-Officers A. GENERAL PROVISIONS 1) All officers shall hold office from December 1st until their duly elected successors take office or until the office is declared forfeited, as set forth below. 2) Officers must be affiliated with the Republican Party and be active members of the Club. 3) A vacancy in an office prior to the expiration of the term shall be filled by appointment of the President. B. TITLES AND DUTIES. The officers of the Club and their respective powers, duties, and responsibilities are as listed below: 1. The Club Officers shall consist of the elected officers. 2. The Club Officers shall have authority to transact necessary business between meetings, make recommendations as to policies of the Club, fill vacancies in offices, and approve activities undertaken in the name of the Club as provide within these bylaws. 3. Any elected officer or appointed officer who is delinquent in the performance of their duties for a period of three months may be relieved of their office by the Club Officers. 4. Meetings of the Club Officers will be at the discretion of the President. 5. The officers of this organization shall include a President, four Vice-Presidents, a Secretary, and a Treasurer. 6. The duties and powers of the officers shall be as prescribed in the Constitution and By-Laws of this organization. 1. PRESIDENT. Elected in even numbered years. The President shall preside over all meetings of the Club and the Club Officers. The President shall have the power to appoint committees, modify existing job descriptions, create or terminate new official positions, supervise activities of the Club, set agenda for meetings, bestow honors, and perform any and all other duties inherent to said office. The President shall be an ex-officio member of all committees of this club. The President shall preside at all meetings of the Club and the Club Officers. The President shall be authorized to perform any and all financial transactions on behalf of the Club. The President may create or dissolve other committees as necessary. 2. FIRST VICE PRESIDENT. Elected in odd numbered years. The First Vice President shall, in the absence of the President, assume all duties of the President. The First Vice President shall serve as Vice President of Recruitment, with the responsibilities of Membership, Training, Education, Membership Recruitment, and Candidate Recruitment. The First Vice President shall perform duties assigned by the President and in the absence of the President shall perform the duties of the President. The First Vice President shall be responsible for keeping and maintaining an accurate roster of Club members and leading various efforts to increase membership. The First Vice President shall be Chairman of the Membership Committee. 3. SECOND VICE PRESIDENT. Elected in even numbered years. The Second Vice President shall serve as Vice President of Events, whose duties shall include Special Events, Hospitality, Programs, and Fund raising. The Second Vice President shall be Chairman of the Programming and Campaign Committees. 4. THIRD VICE PRESIDENT, Elected in even numbered years. The Third Vice President shall serve as the Vice President of Communications, whose duties shall be Canvassing, Data, Website, and News & Media Relations. The Third Vice-President shall be responsible for maintaining an accurate mailing list and email list, a Club website, and other means of communication as directed by the President. They shall be Chairman of the Publicity Committee. 5. FOURTH VICE PRESIDENT. Elected in odd numbered years. The Fourth Vice President shall serve as Vice President of Outreach, whose duties shall be a liaison to Local Clubs, SREC, CREC, and Local, State, & Federal Government. The Fourth Vice President shall be Chairman of the Outreach Committees. 6. SECRETARY. Elected in odd numbered years. The Secretary shall keep and record accurate minutes of all meetings, be the custodian of all records and papers, and record attendance, and/or perform such other duties as may be assigned by the President. 7. TREASURER, Elected in even numbered years. The Treasurer shall be the custodian of the general funds of the Club. He/she shall collect all funds and deposit them in the Club’s bank account. All checks written that exceeds $250.00 on this account shall be signed by both the President and the Treasurer or proxy. The Treasurer shall send notices of unpaid dues to members, disburse funds as directed, make written reports of receipts and disbursements for all meetings, and perform such other duties as may be assigned by the President. OFFICER DUTIES The Club Officers shall consist of the officers of the Club. The officers shall manage the affairs of the Club, subject to the approval of the membership. The Officers shall meet once a month outside of the regularly scheduled meeting time of the Club. A majority of the Officer shall constitute a quorum. Any Club Officers who neither attends nor sends a Proxy to three consecutive meetings shall have his or her absences reviewed by the Club Officers to determine if they are excusable. If absences are deemed inexcusable by majority vote of the Club Officers, the Officer shall thereupon be warned in writing that a future absence will jeopardize his position. Upon a subsequent absence, the Club Officers shall vote, by a majority, to expel the Club Officers or allow him to resign his office in the Club, said office shall then be declared vacant. It is the responsibility of the President to reasonably assure that Club Officers are duly notified of each Officer meeting. ARTICLE 6-Elections VOTING Elections shall be held at a meeting of the Club in August or at the next scheduled meeting. Only those persons who were active members, in good standing, of the Club 60 days prior, shall be eligible to vote. If no candidate obtains a majority on the first ballot, a run-off election will immediately be held between the two receiving the most votes. In the event of a tie, a second vote will be taken immediately; if the second vote fails to break the tie, the outgoing club officers may determine the winner ELECTION JUDGE The President shall appoint an Election Judge to manage the election. NOMINATIONS Nominations for each office may be made from the floor when the election is held, provided those nominated have consented to serve if elected. Where there is only one nominee for an office, election for that office shall be by voice vote. A majority vote shall elect. ARTICLE 7-Miscellaneous INTERPRETATION Any dispute or question concerning the interpretation or meaning of this Constitution shall be determined by a meeting of the Club Officers. ARTICLE 8-Policy No officer or member shall use their title in the endorsement of or opposition to candidates (other than themselves) or measures, unless so directed by two-thirds (2/3) of the active membership present. No former officer or member shall use their former title in the endorsement of or opposition to candidates (other than themselves or family members) or measures. Officers, former officers, members, and former members have a duty to take steps to ensure that their titles are not so used. Should an officer or member fail or refuse to take such steps, the club officers will accept the resignation from the Club of any officer or member whose title is used in an unauthorized endorsement. ARTICLE 9-Indemnification The Club shall indemnify any person (and the heirs, executors, and administrators of such person) who is or was a director, officer or employee of the club, or in which it is any way interested, against any and all liability and reasonable expense that may be incurred by them in connection with or resulting from any claim action, suit or other proceeding (whether brought by or in the right of the or otherwise) , civil or criminal, or in connection with an appeal relating thereto, in which they may become involved as a party or otherwise by reason of being or having been such a director, officer or employee (whether or not a director, officer or employee at the time such liability and expense may be incurred) except in relation to matters as to which they shall be adjudged in such action, suit or proceeding to be liable for or guilty of negligence or misconduct in the performance of their duty. The may also reimburse to any such director, officer or employee the reasonable costs of settlement, including reasonable expense of any such action, suit or proceeding, it is shall be found by a majority of a committee of directors composed of all of the directors not involved in the matter in controversy, whether or not a quorum, that it is to the best interest of the that such settlement be made and that such director, officer or employee was not guilty of gross negligence or willful misconduct. Indemnification Not Exclusive - The rights of indemnification and reimbursement provided for shall not be deemed exclusive of any other rights to which such director, officer or employee may be entitled under any bylaws, agreement, vote of members, or as a matter of law or otherwise. ARTICLE 10-Amendments This Constitution and By-laws may be amended by a 2/3 vote of those club officers present and voting at any regular or special meeting. A club officer may only give his proxy to only one member. An individual may act as proxy for only one person.
